Section One: Skiffytown League Charter
BE IT KNOWN. . .
That we, the Skiffytown League of Heroes have banded
together to promote heroic values through costumed appearances of original and mainstream
super hero characters. This includes but is not limited to the following (which
may overlap):
That we, support charitable outreach by helping the
communities in which we live and visit.
This will be accomplished by working with local community leaders to
identify specific needs. Outreach could
include, but is not be limited to, Book Drives, Toy Drives, and Hospital
Visits. Charitable outreach will focus
on, but is not limited to, children and youth initiatives.
That we dedicate ourselves to the establishment,
growth and promotion of positive values through creativity, originality and
character appearances.
THIS IS OUR SOLEMN OATH
Article One: Organization
The League is hereby chartered as a non-profit
organization under the laws as set down by the United States of America; said
organization being recognized and fully sanctioned as a group of individuals
who promote heroic values by its membership through charitable outreach,
community service, camaraderie and partnership.
Article Two: Jurisdiction
In accordance with our organizational goals The
League will travel to all points possible to promote the goals and aims of said
organization.
Article Three: Funding
As a non-profit organization, The League shall be
funded chiefly by private donations. Major
funding for the activities of The Skiffytown League of Heroes, its
transportation and equipment, shall be provided by members in good faith. Once donations have been made, decisions for
said monies shall be made by those responsible leads on the given tasks
required to promote the aims and ideals of the League. Honesty and
accountability shall be maintained by all members.
Article Four: Operations
The day-to-day operations of The League shall be
governed by a set of by-laws as put forth by the active members.
IN WITNESS of this charter, we founding members have hereunto

Section Two: SKIFFYTOWN
LEAGUE OF HEROES BY-LAWS
2.1.
Mission Statement
2.1.1.
No reaction to a
yellow sun. No radioactive spider
bite. Just the super-human ability of a
charitable heart and the will to do good.
2.2.
The Skiffytown League of Heroes (herein referred to
as “The Skiffytown League of Heroes” or “The League”) shall:
2.2.1.
Promote heroic
values through costumed appearances of original and mainstream super hero
characters. This includes but is not limited to the following (which may
overlap):
2.3.
All members of The League shall, at all times,
endeavor to adhere to the principles of the Skiffytown League of Heroes Charter
and follow the rules and regulations of these by-laws.
2.4.
These by-laws may be amended, when deemed necessary,
by the active members of The Leagues Senior Staff. Amendments may be proposed
by any active League member. Amendments shall become a binding part of these
by-laws upon approval by a two-thirds vote of the active membership.
2.5.
No League member shall be required to surrender
knowledge of his or her civilian identity or personal affairs to the membership
at large. Exceptions may be made for
Legal purposes.
2.6.
The Skiffytown League of Heroes shall be bound by the
laws of the United States
and it’s territories as any United States Citizen would.
2.7.
The Skiffytown League of Heroes shall be led by a
duly elected President. It shall be the duty of this leader to coordinate all
League activities, whether business or tactical in nature.
2.8.
The President and Senior Staff positions shall be
open to any active League Executive Staff Member, once a Senior Staff Member
has opted to resign his/her position, as well as having been accepted by
remaining Senior Staff members by a majority vote.
2.8.1.
The President
and Senior Staff shall serve a term of two years or has opted to resign his/her
office or has been found in conflict with is charter. There shall be no limit to the number of
successive terms a leader may serve.
3.
Section Three: Membership Requirements
3.1.
Faction and Server - As a practical matter, eligibility
of The Skiffytown League of Heroes requires a character to have:
3.1.1.
Motivation - We expect members to have a desire to
improve their characters, and to work together to accomplish the Skiffytown League of Heroes’ goals. While we do not require
attendance for Skiffytown League of
Heroes
events, we do expect members to make a good faith effort to help accomplish the
work that is required to make the Skiffytown
League of Heroes successful.
3.1.2.
Intelligence - Members must be capable of making
decisions intelligently and rationally. In points of debate, we expect members
to be able to properly support their arguments with logic and reasoning,
character counts.
3.1.3.
Competency - We are an achievement oriented organization.
To this end, we desire only members that strive to portray their characters
with enthusiasm, skill and discipline. All members are expected to do what is
necessary to improve their skills and strategy and be the best team member they
can be.
3.1.4.
Courtesy - We are the Skiffytown League of Heroes, polite
and mature individuals that endeavor to create a comfortable environment for
everyone. Profane or explicit language will not be tolerated.
3.1.5.
Honesty - We expect our members to abide by standards of
decency and fair play. This means no cheating, hacking, scamming or stealing.
Act in a way that shows your good character and reflects positively on the
Skiffytown League of Heroes.
3.1.6.
Naming Policy - We expect all members to have names that
are original or appropriate to the character portrayed. We will likely not
grant membership to anybody with a name that:
3.1.6.1.
Is a recognizable name or variation of a name from
popular novels, movies, or stories.
3.1.6.2.
Is intentionally unpronounceable (adding 'x' to each end
of a word does not make a good name).
3.1.7.
Is perceived by the Senior Staff as being inappropriate
for use in a family-friendly environment
3.2.
Skiffytown League of Heroes Code of Conduct
3.2.1.
In keeping with the Skiffytown League of Heroes’ goals
and objectives as a charitable organization, and in representing ourselves as
those that personify the values of super heroes, everyday heroes and the United States of America,
The League establishes the following Code of Conduct when attending
League-sanctioned events:
3.2.2.
While in uniform and representing The League publicly:
3.2.2.1.
No smoking, no consumption of alcohol, no taking
controlled illicit or otherwise illegal substances.
3.2.2.2.
No use of foul, abusive, overly suggestive, or
inappropriate language in consideration of a family-friendly environment.
3.2.2.3.
Physical contact with fellow members and the public at
large should be positive and in keeping with a family-friendly
environment. No inappropriate contact,
real or perceived, should take place within public view.
3.2.2.4.
It is understood that, in some instances, patrons
attending an event, or the general public, may become verbally or physically
abusive. It is the responsibility of a
League Members to avoid confrontation if at all possible. Violent contact with other members or the
general public is strictly prohibited.
League Members are expected to notify and work with local police or
security personnel to deal with abusive patrons or individuals.
3.3.
Membership
3.3.1.
Anyone may become a
member of the Skiffytown League of Heroes by expressing interest.
3.3.2.
Recognizing that
the membership of The League may be subject to, and, indeed, might profit from
change, procedures for the admission of members shall be set forth.
3.3.3.
Candidate
persona for League membership must possess at least one skill, power, ability,
or talent which is deemed valuable by simple majority of the active membership.
3.3.4.
Membership shall
not be denied on account of race, color, creed, sex, or condition of birth or
national origin.
3.3.5.
Candidates for
membership must be nominated by one active General Member in good standing at a
regular or special meeting. Election for membership must be held within a
reasonable amount of time of nomination and be attended by a simple majority of
active Executive Staff members. A simple majority vote is necessary for
election to membership.
3.3.6.
Newly elected
League members shall save a probationary period of not less than 90 days.
3.3.7.
During the
period of probation, the probationary member will maintain conduct becoming of
a League member.
3.3.8.
While on
probation, the new League Member – or recruit - shall have limited access to
Skiffy League records and plans.
3.3.9.
At the end of
probation, the new League member shall assume full active status as a General
Member, unless reasonable objections are raised by any member of the Executive
or Senior staffs and examined.
3.3.10.The
League shall select new members when the Senior Staff determines that the ranks
are not at optimal strength, or when there is a vacancy in the ranks.
3.3.11.It SHALL
NOT be the prerogative of the Senior Staff to limit the number of General
members. It SHALL be the prerogative of
the Senior Staff to limit the number of Executive Staff members
3.3.12.Category
of Membership
3.3.12.1.
Active
3.3.12.1.1.
Active League members
shall be the designation given to those individuals who are full-time members.
3.3.12.1.2.
Senior Staff
members shall be required to attend all regular business meetings, virtual or
in-person, (attendance shall also mean logging onto and replying to e-mail at any
given time). Members who miss more than three scheduled meetings without
submitting an acceptable excuse may face suspension for a period to be
determined by a consensus of the other Senior Staff members. (Refer Section
Four: Discipline 11.5.4)
3.3.12.1.3.
Active League
members shall be issued an official Skiffy League identification patch.
3.3.12.1.4.
Active members
shall be required to answer all reasonable requests. Regardless of the answer,
a simple response is required within a timely manner. This will be a courtesy to all members.
3.3.12.1.5.
Active members
who do not reply to a legitimate official communication from other members
without good reason may be subject to disciplinary action.
3.3.12.1.6.
Active League
members shall be expected to cooperate with law enforcement agencies. No League
member shall be considered above the law.
3.3.12.1.7.
Active League
members shall be granted unlimited access to the Skiffy League files.
3.3.12.1.8.
Active League
members may take a leave of absence for any reason simply by notifying a member
of the Senior Staff of said intent.
3.3.12.1.9.
Active League
members may choose to accept status as either a reservist or an inactive
member.
3.3.12.1.10.
Active League members shall, at all times, act in a
manner befitting that of a guardian of the public trust.
3.3.12.2. Reserve
3.3.12.2.1.
Reserve League members
shall be the designation given to those Skiffytown League of Heroes members who
are part-time members, or on call for special missions.
3.3.12.2.2.
Reserve
membership shall be limited to those members who have fulfilled an active term
of duty of not less than six months, and who wish to reduce their connections
with the group.
3.3.12.2.3.
Reserve League
members shall not be required to log their individual missions, though they
shall be encouraged to do so.
3.3.12.2.4.
Reserve League
members may attend any regular meeting.
3.3.12.2.5.
Reserve League
members shall retain their Skiffy League identification card.
3.3.12.2.6.
Reserve League
members shall have limited access to Skiffy League files.
3.3.12.2.7.
Reserve League
members may return to active status at the discretion of the Chairman/woman or
a simple majority vote of the active members.
3.3.12.2.8.
Reserve League
members shall be given priority over new candidates in the filling of vacancies
in the active membership.
3.3.12.2.9.
Reserve League
members may retire to inactive status by notifying the Chairman/woman and
verbally surrendering the Skiffy League membership.
3.3.12.2.10.
Reserve League of Heroes shall not have a vote in
Skiffy League proceedings.
3.3.12.2.11.
Reserve League of Heroes shall have the authority to
call meetings.
3.3.12.3. Inactive
3.3.12.3.1.
Inactive League Members shall
be the designation given to those members who have retired or resigned from
active and reserve duty.
3.3.12.3.2.
Any League
member may resign by simply notifying a member of the Senior Staff of his/her
intent and surrendering League -owned equipment or supplies.
3.3.12.3.3.
Any active or
reserve League member who is incapacitated or who moves from the organization's
normal jurisdiction shall be granted an honorable discharge and placed on the
inactive roster.
3.3.12.3.4.
Inactive
Skiffytown League of Heroes may be granted limited access to Skiffy League equipment
and files only at the discretion of a simple majority of the Senior Staff.
3.3.12.3.5.
Inactive status
shall be considered the same as an indefinite leave of absence.
3.3.12.3.6.
Inactive League
members may be reinstated based on their previous rank. General Members may return at any time. Executive Staff members may return only if
there is a vacancy in the active ranks, and then only if elected by a
two-thirds vote of the active membership.
3.3.13. Meetings
3.3.13.1.
It shall be the
privilege of The President to determine the format of Senior Staff Meetings and
to call special meetings as he/she sees fit.
3.3.13.2.
In the event of
the absence, incapacity, or resignation of The President, The Vice President
will fill the role until a new President can be chosen by a two-thirds vote of
the Executive Staff.
3.3.13.3.
The Senior
Staff of The League shall meet regularly, either virtually or in person, at a
time and place to be agreed upon by a simple majority of the Senior Staff
Members.
3.3.13.4.
Emergency
meetings may be called at any time, but emergency meetings shall not be
considered a replacement for a regular meeting.
3.3.13.5.
In the event
that a League mission is in progress at the time of a regularly-scheduled
meeting, the meeting may be rescheduled.
3.3.13.6.
A quorum of two
thirds of the Senior Staff shall be required to make a meeting official.
3.3.14. Affiliations
3.3.14.1.
The League members
shall not be limited to group affiliation and interaction as long as there are
no contradictory aims or goals between organizations.
3.3.14.2.
Affiliations
with like minded organizations are in keeping with the spirit of this charter.
3.3.15. Discipline
3.3.15.1.
Motions for disciplinary action against any active or reserve League member may be brought by any
member of the Executive Staff.
3.3.15.2.
In the event of
such an accusation, President shall convene a board of inquiry, comprising a
simple majority of the Senior Staff (minus the accused, if he/she is an active
member).
3.3.15.3.
Disciplinary
action shall be limited to suspension, with the option of further trying the
accused before a tribunal of all active members.
3.3.15.4.
Tribunal
proceedings shall be conducted in the manner of an open discussion of events
and accusations.
3.3.15.5.
Maximum
punishment to be brought on the accused by such a tribunal shall be expulsion
from the League.
3.3.15.6.
A two-thirds
vote by the Executive Staff shall be necessary to expel a member from the
League.
3.3.15.7.
Active and
reserve League Members can be expelled, with no possibility of reinstatement,
on the following grounds:
3.3.15.8.
Review of
conviction for any crime above a misdemeanor.
3.3.15.9.
Deliberate
betrayal of League confidences or character assassination.
3.3.15.10.
Criminal acts of negligence not convicted for, but
witnessed by at least three active members.
3.3.15.11.
Conduct unbecoming a member of the League as outlined
in the Code of Conduct on more than three separate occasions during a calendar
year and as witnessed by at least three active members.
4.
Section Three: League Structure &
Responsibilities
4.1.
Members may advance through a series of ranks within
the Skiffytown League of Heroes if they wish. The ranks are Recruit, General
Member, Executive Staff Member and Senior Staff Member (Note that these terms
are for internal Skiffytown League of Heroes use only, and do not carry or
imply precedence).
4.2.
It is not necessary for anyone to be ranked to be
able to participate in Skiffytown League of Heroes activities, apart from
organizing functions. Non ranked individuals may organize, but will work with a
ranked member.
4.3.
The Skiffytown League of Heroes badge may be worn by
General Team Members and above.
4.4.
Recruit
4.4.1.
To become a
Recruit of the Skiffytown League of Heroes, a candidate must have contacted one
of the Executive Staff of the Skiffytown League of Heroes and have gained their
approval.
4.4.2.
The candidate
will immediately be accepted for a probationary period of 90 days.
4.5.
General Team Member
4.5.1.
Individuals who
have passed their probationary period as a Recruit as decided by The Senior
Staff are eligible for induction to The League as a General Member as accepted
by Executive Staff Members by a simple majority vote.
4.5.2.
General Member
may then come into the organization with all rights and privileges.
4.6.
Executive Staff Member
4.6.1.
An Executive
Staff Member will have submitted a letter of interest, via e-mail or standard
mail, to the Senior Staff of the Skiffytown League of Heroes and been approved
by a simple majority vote. Senior Staff
Members may also opt to contact a General Member that he or she feels has
earned the privilege of promotion.
Members of Executive Staff shall not exceed 31, although the number may
be smaller.
4.6.2.
A Member of the
Executive Staff maintains all privileges and responsibilities of a General
Member with additional privilege of voting rights. Executive Staff Members are charged with
making major decisions affecting the League.
Major decisions will include but not be limited to: Which conventions will be officially
sanctioned events; Expenditures exceeding the amount of $5,000; Additional
events to be officially sanctioned; Major changes in League Charter, By-Laws or
Articles of Incorporation.
4.7.
Senior Staff Member
4.7.1.
This level shall
be attained when a current member of the Senior Staff opts to resign his/her
position from the Skiffytown League of Heroes and remaining Senior Staff
Members are agreed that a candidate has performed admirably as an Executive
Staff Member and has been accepted to a Senior Staff position through a simple
majority vote.
4.7.2.
Senior Staff
Members carry all of the privileges and responsibilities associated with
Executive Staff and General Membership with the following added privileges and
responsibilities: Voting rights for day-to-day operations of The League; Financial
decisions up to $4,999; voting rights for admittance into General and Executive
Staff Membership; Responsibilities and decisions for dealing with public image
of the League including working with members of the media in promotion or
defending League activities.
4.8.
Skiffytown League of Heroes President
4.8.1.
The President
should be active in promoting the Skiffytown League of Heroes and its
activities. Be responsible for the
administration of the Skiffytown League of Heroes. Duties include:
4.8.2.
Organization of
Skiffytown League of Heroes events and activities
4.8.3.
Maintenance of
current membership listing and positions.
4.8.4.
Any other duties
the operation of the Skiffytown League of Heroes may require.
4.9.
Skiffytown League of Heroes Secretary
4.9.1.
Responsible for the
Skiffytown League of Heroes publications as required.
4.9.2.
Taking notes at
all meetings and functions and distributing said notes to the Senior
Staff. Maintenance of League
archives.
4.10.
Skiffytown
League of Heroes Vice President
4.10.1.Responsible
for all activities of the League in the absence or incapacitation of the
President.
4.10.2.Responsible
for making the final decision in the event of a voting tie between members of
the Senior Staff, or in the scenario of an Executive Staff vote.
4.11.
Skiffytown
League of Heroes Treasurer
4.11.1.Responsible
for accurate maintenance of League finances and production of quarterly
financial statements, i.e., Profit & Loss and Balance Sheet.
4.11.2.Accurate
description and accounting of League funds.
4.11.3.Pay and
receive billings as needed.
4.12.
Skiffytown
League of Heroes Senior Staff Member at Large
4.12.1.Responsible
for attending all meetings, virtual or in person, unless a valid excuse for
absence is provided prior to the meeting date.
4.12.2.Support
and participate in League activities and events as time and geography permit.
4.12.3.Support
and participate in the general operation of The League and work with other
Senior Staff members as needed.
4.12.4.Chair
committees as such an activity requires for the enhancement of the League.
4.13.
Skiffytown
League of Heroes Communications Officer
4.13.1.Responsible
for the maintenance of the Skiffytown League of Heroes web page and email lists
as required.
4.13.2.Responsible for the maintenance of the Skiffytown
League of Heroes forum and e-mail accounts.
5.
Section Five: Skiffytown League of Heroes Con
Organization
5.1.
Overview: The responsibility of running CON activity is
shared among Senior Staff.
5.1.1.
One or more Senior Staff Members may be chosen to run a
con based on availability and geography. They in turn elect a chair from among
their members. Con Senior Staff Member(s) will share a specific list of
responsibilities with which they are charged.
5.1.2.
Con Senior Staff are required to maintain a list of
objectives, and provide ongoing progress reports. While implementation details are
left up to each Con Senior Staff Member, the expectation is that they will
arrive at decisions by majority vote of those Senior Staff and Executive Staff
that are attending the event.
5.2.
Code of Conduct for Cons and Events
5.2.1.
Cons, charitable and other events are a major focus of
the Skiffytown League of Heroes, and members are expected to support those
goals. However, we understand that our members have obligations outside of The
League, and so have no attendance requirements. Real life comes first.
5.2.2.
In an event situation, a careless or foolish action can
wipe out hours of effort for the entire League and its reputation. Thus it is
important that all members come to events ready to put forth their best effort.
5.2.3.
During an event, the authority of the Senior Staff
Member(s) is absolute, and discipline is required. Arguments and disagreements
will not be allowed to interfere with or compromise an event. Critiques and
disagreements are productive and welcome, and should be brought up for
constructive discussion as part of the post-event Mission Report.
5.2.4.
Members are expected to read any pre-Event briefing
before the event begins so we can avoid wasting everyone's time reviewing a
detailed strategy.
5.2.5.
Members are expected to familiarize themselves with the
rules of our conduct and scheduling for each event.
5.2.6.
We take events seriously, but always remember that this
is supposed to be fun. Keeping a good attitude and having fun are the most
important things.
5.2.7.
Activities and events are governed by the Senior Staff in
coordination and cooperation with the Executive Staff, which may recommend
changes or additions to this document.
6.
Section Six: Amending
the Charter
6.1.
Ultimate authority to edit or amend this charter rests
with the Skiffytown League of Heroes President, in consultation with his or her
Senior Staff and their vote by a 2/3 majority.
6.2.
Senior Staff and
Executive Staff Members may submit recommendations for specific changes related
to the subject matter as the see fit. Amendments to the charter may be
challenged, in which case a Skiffytown League of Heroes Executive Staff vote
will be required for ratification.
7.
Section Seven:
Discorporation
7.1.
The Skiffytown League
of Heroes may be disbanded with a unanimous vote of the entire Executive and
Senior Staffs of the League.
In the event of disbanding, all League properties shall return to its
original owner or in the case of league ownership, a simple majority may decide
its ultimate status.
